Terms of Service

StatusDirect is a trade name of Midnode Inc. These terms explain the rules for using the uptime monitoring, alerting, and public status page services we provide.

  • You are responsible for your account, billing information, monitor targets, alert recipients, and public status page content.
  • Use StatusDirect for legitimate monitoring only. Do not use it to attack, scan, harass, or overload third-party systems.
  • We make reasonable efforts to keep the service available, but no monitoring system can be uninterrupted or error-free.
  • Midnode Inc. owns StatusDirect; StatusDirect is not a separate legal corporation.

Acceptance & scope

These Terms of Service (the Terms) are an agreement between you and Midnode Inc. d.b.a. StatusDirect (StatusDirect, we, us, or our). They apply to the StatusDirect website, account area, uptime monitoring, alerting, hosted status pages, APIs, and related services (the Service).

By registering, purchasing a plan, configuring a monitor, publishing a status page, or otherwise using the Service, you agree to these Terms. If you use the Service for a company or other organization, you represent that you have authority to accept these Terms for that organization.

If you do not agree to these Terms, you may not use the Service. We may update these Terms by posting a revised version on this page. Continued use of the Service after a posted change means you accept the revised Terms.

Your account

You must provide a valid, unique email address and accurate account information. You are responsible for maintaining current contact and billing details so we can send notices, invoices, alerts, and service communications.

You are responsible for all activity under your account, including monitor configuration, alert destinations, API credentials, status page content, and users you invite. Keep passwords, API keys, webhooks, and integration credentials confidential.

Notify us promptly at security@status.direct if you believe your account or credentials have been compromised. We may require password resets, token rotation, or additional verification before restoring account access.

Services

StatusDirect provides tools for monitoring availability and performance, including website uptime monitoring, server resource monitoring, SSL certificate monitoring, alerts, stored monitoring results, and public or private status information. You are purchasing access to the Service, not ownership of our software, infrastructure, or monitoring network.

Plan limits, check intervals, retention periods, alert channels, and included features are described on the applicable order page, invoice, plan description, or written agreement. We may modify features or limits when needed to protect the Service, comply with law, prevent abuse, or maintain reasonable service performance.

Monitoring results can be affected by network conditions, DNS behavior, target configuration, third-party providers, regional routing, and other factors outside our control. You should not rely on StatusDirect as your only operational signal for critical systems.

Payments & refunds

Paid services are billed in advance on the billing cycle selected at order. Services are not activated, renewed, or upgraded until payment is received and passes fraud review. You authorize us and our payment processors to charge the payment method associated with your account for fees, renewals, usage charges, taxes, and other amounts due.

If an invoice remains unpaid, we may suspend the related service. Services that remain unpaid for an extended period may be terminated, and deleted data may not be recoverable. Chargebacks, payment reversals, suspected fraud, or payment processor disputes may result in immediate suspension or termination.

Unless a written agreement says otherwise, first-time paid services may be eligible for a refund if you cancel and request the refund within seven days of the initial order. Renewals, usage charges, add-ons, custom work, and accounts terminated for abuse or Terms violations are not eligible for refund except where required by law or approved by us at our discretion.

You can cancel services through the billing area or by contacting support. Cancellation stops future renewal charges for the cancelled service but does not automatically refund amounts already paid.

Acceptable use

You may use StatusDirect only for lawful monitoring, alerting, and status communication. You are responsible for ensuring that you have the right to monitor each target you configure and to notify each recipient you add.

You may not use the Service to scan, probe, attack, overload, harass, or interfere with systems you do not own or operate; bypass plan limits or rate limits; send unsolicited messages; publish illegal, abusive, deceptive, or infringing content; attempt to access other customers' accounts or data; reverse engineer the Service; or use the Service in a way that harms our infrastructure or other customers.

We may throttle, disable, suspend, or terminate monitors, alert channels, status pages, API access, or accounts that violate these Terms, create operational risk, generate abuse complaints, or interfere with service delivery.

Customer data

You retain ownership of monitor configuration, contact details, status page content, incident updates, alert rules, and other data you submit to the Service (Customer Data). You grant us permission to host, process, transmit, display, and back up Customer Data as needed to provide, secure, support, and improve the Service.

You are responsible for the accuracy, legality, and suitability of Customer Data. Do not submit sensitive personal information, secrets, private keys, regulated health data, payment card data, or other information that is not needed for monitoring unless we have expressly agreed in writing to handle it.

We may use aggregated or de-identified operational data to understand usage, improve reliability, detect abuse, plan capacity, and develop the Service. We do not sell Customer Data.

Availability

We make reasonable efforts to keep the Service available and functioning. However, interruptions may occur due to maintenance, software defects, provider outages, routing issues, target-side failures, abuse mitigation, security events, force majeure events, or other causes.

We do not guarantee that the Service, monitoring results, alerts, status pages, APIs, or stored statistics will be uninterrupted, error-free, complete, or available at all times. We are not responsible for failures caused by your systems, your configuration, third-party providers, recipient mail or messaging systems, or networks outside our control.

We may change, restrict, suspend, or discontinue parts of the Service when reasonably necessary for security, maintenance, abuse prevention, legal compliance, or service reliability.

Intellectual property

The Service, software, interfaces, designs, documentation, trademarks, logos, and related materials are owned by Midnode Inc. or its licensors. StatusDirect is a trade name used by Midnode Inc.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your active subscription and in accordance with these Terms. You may not copy, resell, sublicense, modify, or create derivative works from the Service except where we expressly allow it in writing.

If you provide feedback or suggestions, we may use them without restriction or compensation.

Suspension & termination

You may cancel your services at any time through the billing area or by contacting support. You remain responsible for charges incurred before cancellation takes effect.

We may suspend or terminate your account or services if you violate these Terms, fail to pay amounts due, create security or operational risk, use the Service unlawfully, submit inaccurate or fraudulent information, or interfere with the Service or other customers.

After termination, access to the Service and Customer Data may be disabled or deleted. Some records may be retained as required for billing, tax, security, dispute resolution, abuse prevention, or legal compliance.

Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy.

We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost revenue; business interruption; loss of goodwill; loss of data; missed alerts; incorrect incident status; or monitoring errors, even if we were advised such damages may occur.

To the maximum extent permitted by law, our total liability for all claims related to the Service or these Terms is limited to the amount you paid us for the affected Service during the twelve months before the event giving rise to the claim.

You agree to defend and indemnify Midnode Inc., its directors, officers, employees, contractors, and agents from claims arising from your use of the Service, your Customer Data, your monitor targets, your status page content, your breach of these Terms, or your violation of law or third-party rights.

Governing law

These Terms and any dispute relating to them or the Service are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-laws rules.

Unless applicable law requires otherwise, disputes related to these Terms or the Service will be resolved in Alberta, Canada, including by binding arbitration under the Canadian Arbitration Association's Arbitration Rules when arbitration is required or elected by the parties. Either party may seek urgent injunctive or equitable relief in any court of competent jurisdiction to protect security, confidential information, or intellectual property rights.

You and Midnode Inc. agree to bring claims only on an individual basis and not as a plaintiff or class member in a class, consolidated, or representative action.

General terms

These Terms, the Privacy Policy, and any applicable order, invoice, or written agreement are the entire agreement between you and us for the Service and replace prior discussions about the same subject.

If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

Legal notices to us may be sent to legal@status.direct. Notices from us may be sent to the email address associated with your account, posted in the billing area, or posted on this website.
